1. What the Site Is
The Site is a free platform where landlords and property managers post rental listings and renters browse them. We are not a real estate broker, agent, landlord, property manager, or party to any lease or transaction. We do not inspect, verify, endorse, or guarantee any property, listing, user, or communication.
2. Free Service
Listing is free for landlords. We do not accept payment for listings and offer no paid preference or placement. We may change, suspend, or discontinue any part of the Site at any time without notice or liability.
3. Eligibility and Accounts
You must be at least 18 and able to form a binding contract. You are responsible for your account, its security, and all activity under it.
4. User Content and Listings
You are solely responsible for any listing, photo, text, or other content you submit (“User Content”). You represent that you own or have rights to it, that it is accurate and lawful, and that it complies with all fair housing, rent control, and other applicable laws. You grant the Company a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to host, use, copy, modify, display, and distribute User Content in connection with the Site and its promotion. We may remove or edit any content at any time, for any reason, without notice.
5. Prohibited Conduct
You may not post false, misleading, discriminatory, fraudulent, or infringing content; scam or solicit payments deceptively; scrape, harvest, or copy the Site by automated means; interfere with Site security or operation; or violate any law. We may terminate access at our sole discretion.
6. Listings Provided “As Is”; No Warranties
THE SITE AND ALL LISTINGS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR THAT THE SITE WILL BE ERROR-FREE OR SECURE. Users must independently verify all information and exercise caution in dealing with others, including before sending any money.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTOBELLO PLUS MANAGEMENT COMPANY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, RENT, DEPOSITS, OR GOODWILL, OR ANY DAMAGES ARISING FROM USER CONTENT, LISTINGS, TRANSACTIONS, OR DEALINGS BETWEEN USERS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
8. Indemnification
You agree to defend, indemnify, and hold harmless Portobello Plus Property Management Co, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and attorneys’ fees arising from your use of the Site, your User Content, your listings or transactions, or your violation of these Terms or any law.
9. Release
Disputes between users are solely between them. You release the Company from all claims arising from such disputes. You waive California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
10. Third-Party Links
The Site may link to third-party sites or services. We are not responsible for them.
11. Intellectual Property and DMCA
Except for User Content, the Site and its content are owned by the Company. To report copyright infringement, contact us with the information required by 17 U.S.C. §512(c).
12. Governing Law; Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. To the extent permitted by law, claims must be brought individually, not as a class or representative action, and within one (1) year after the claim arises.
13. General
We may update these Terms at any time; continued use means acceptance. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, with our Privacy Policy, are the entire agreement between you and the Company.
